Reports are generated from user inputs, uploaded documents, public registries, and trusted third-party data providers (including IPinfo, Google Street View, and others).

2.4 Continuous Improvement: Red Flags Ai is designed to continuously evolve. Our system may refine its checks, cross-reference new data sources, and update its methodology in line with industry best practices. Over time, these enhancements are intended to improve the overall accuracy and reliability of reports. However, Red Flags Ai makes no guarantee of specific improvements, outcomes, or performance levels, and all reports are provided on an “as-is” basis.

3.1 You must be at least 18 years old to use our Services.
3.2 By using the Services, you confirm that you have the legal authority to bind any business or organisation you represent.

3.3 We grant you a limited, non-exclusive, non-transferable license to access and use our reports for your internal due-diligence purposes only. All other rights are reserved by Red Flags Ai.

Each report requires 1 credit.

Credits are managed via third party API integrations.

Credits are deducted only after confirmation that your balance is valid.

Credits are non-transferable and non-refundable, except in cases of technical fault or registry outage that prevents a report from being generated.

4.1 Fees for subscriptions and pay-as-you-go services are listed on our website and may be updated from time to time.
4.2 Payments are due in advance. Subscriptions auto-renew unless cancelled before the renewal date.
4.3 All fees are non-refundable, except as required by law (Refunds & Cancellations below)
4.4 Failure to pay may result in suspension or termination of your access to the Services.

Refunds & Cancellations

4.5 Subscription Plans

4.5.1 Subscriptions are billed in advance on a monthly or annual basis.
4.5.2 You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle, and you will retain access to any remaining report credits until that date. Subscriptions renew automatically unless cancelled at least [1] day before the renewal date.
4.5.3 Unused credits will remain in your account during the active subscription period but will not roll over into future billing cycles after cancellation.
4.5.4 Refunds are not provided for subscription payments once credits have been used.

4.6 Pay-As-You-Go Credits

4.6.1 Pay-as-you-go credits are non-refundable once used.
4.6.2 If a purchased credit has not been used, you may request a refund within 72-hours of purchase.
4.6.3 After 72-hours, unused credits are non-refundable but will remain valid for your account until used or until the account is terminated.

4.7 General Conditions

4.7.1 Refund requests must be made by contacting us at contact@redflags-ai.com.
4.7.2 We reserve the right to refuse refunds where evidence indicates that credits or Services have been accessed or attempted to be used.
4.7.3 Chargebacks initiated without contacting us first may result in account suspension and forfeiture of any remaining credits.

5.1 You agree to:

• Provide accurate and lawful information for due diligence analysis.

• Use the Services only for legitimate business purposes.

• Maintain the confidentiality of your login credentials.

5.2 You must not:

• Upload unlawful, defamatory, or misleading materials.

• Attempt to reverse-engineer, probe, or replicate Red Flags Ai’s proprietary scoring or methodology.

• Circumvent report limits, resell, or redistribute reports without written permission.

• Use the Services for fraudulent, illegal, or abusive activity.

6.1 Reports generated by Red Flags Ai are licensed for your internal business use only.
6.2 Reports may not be reproduced, distributed, or sold without prior written consent.
6.3 All intellectual property rights in the platform, reports, templates, and methodology remain the sole property of Red Flags Ai Ltd.

We rely on third-party registries, APIs, and public data sources. Availability may vary by country and may be subject to outages, restrictions, or access limitations.

If data is sparse or incomplete, you will be notified before proceeding.

Some registries may be temporarily blocked by governments or providers. Where this occurs, it will be disclosed in your report.

7.1 Red Flags Ai processes personal and business data in accordance with our Privacy Policy and applicable data protection laws (including UK GDPR).
7.2 By using the Services, you consent to such processing and warrant that you have the right to provide the data.
7.3 Uploaded documents and generated reports may be stored for up to 12 months unless deletion is requested earlier.

8.1 The Services rely on third-party APIs and data providers (including Google Maps, WHOIS, sanctions databases, Airtable).
8.2 We cannot guarantee uninterrupted access or accuracy of third-party data.
8.3 Red Flags Ai is not liable for downtime, delays, or inaccuracies caused by third-party services.

9.1 The Services are provided on an “as-is” and “as-available” basis.
9.2 We make no warranties, express or implied, regarding accuracy, reliability, fitness for purpose, or uninterrupted availability.
9.3 Reports may include errors, omissions, or incomplete data due to limitations of AI, APIs, or customer-provided information.

10.1 To the fullest extent permitted by law, Red Flags Ai shall not be liable for:

• Loss of profits, revenue, opportunities, or goodwill.

• Indirect, incidental, or consequential damages.

• Any reliance you place on a report for business or legal decision-making.

10.2 Our total liability for any claim shall not exceed the total subscription or service fees paid by you in the preceding three (3) months.

12.1 We may suspend or terminate your account immediately if you:

• Breach these Terms.

• Fail to pay fees.

• Misuse or abuse the Services.

12.2 You may cancel your subscription at any time. Access continues until the end of the current billing period.

13.1 These Terms are governed by the laws of England and Wales.
13.2 Any disputes shall be resolved exclusively in the courts of England and Wales.

Each report provides a risk score out of 100 and a risk band (Low, Medium, High).

Scoring methodology is proprietary and confidential. We disclose only the final score, band, and a randomised interpretive line.

Factors considered include registry data, law enforcement watchlists, address validation, IP infrastructure checks, and related signals.

We apply strict compliance and security measures, including:

Rate limiting: more than 5 reports/min/account will be blocked.

Automated lockouts for repeated misuse (e.g., >3 failed attempts = warning; >6 = lockout + escalation).

Audit logging of all activity (account ID, inputs, events, timestamps).

Fraudulent use, scraping, or misuse may result in suspension or termination of access.

We reserve the right to update these Terms at any time. Updates will be posted on our website with a revised effective date. Continued use of the Services indicates acceptance of the revised Terms.

The Red Flags Ai name, branding, and scoring methodology are our intellectual property.

You may not reproduce, distribute, or adapt any part of the system, methodology, or generated reports beyond your own business use.
